Who these terms bind
These Terms and Conditions set the basis on which Treasury Quartz Godo Kaisha ("we") carries out a procurement review for a client. They apply to companies and to individuals trading in their own business. We do not sell reviews to consumers. By confirming a proposal in writing, the client accepts them together with that proposal.
Ref. TOC-003 / Starting a Review
From enquiry to engagement
An engagement starts with an enquiry and a first conversation, which costs nothing. If a review looks suitable, we send a written proposal that states the review, the records we need, the expected timeframe, the fee and the date the proposal expires, normally 30 days after it is issued. The engagement begins when you confirm the proposal in writing (an email is enough) and the records we asked for have arrived.
Ref. TOC-004 / Fees and Payment
What the review costs and when it is paid
- The fees are those on the offer pages: ¥27,000 for the Supplier Concentration Review, ¥21,500 for the Procurement Terms Review and ¥18,000 for the Inventory Buffer Assessment. They are in Japanese yen and exclude consumption tax, which is added to the invoice at the rate in force.
- We invoice when the written report is delivered. Payment is due by bank transfer within 30 days of the invoice date, and the bank charges are borne by the client.
- If the records show that the scope is larger than the proposal assumed, for example many more suppliers or items, we tell you and agree a revised scope and fee in writing before continuing. No extra charge arises without that agreement.
Ref. TOC-005 / Client's Part
What we ask of the client
- Provide the requested records in good time and as complete and accurate as you can make them.
- Make sure you are entitled to share them, and remove personal details that have no bearing on the review.
- Answer our clarifying questions, normally within five business days. A longer silence moves the delivery date back by the same number of days.
- Keep the decisions about suppliers, terms and stock levels with yourself. The report informs those decisions; it does not make them.
Ref. TOC-006 / Timeframe
How the stated durations work
The durations on the site (three weeks, two to three weeks and two weeks) start on the day we hold the complete set of records and run in calendar weeks. They are the usual scope for a moderately sized supplier list or item range, not a guaranteed delivery date. If something in the records pushes the timeline out, we say so as soon as we see it.
Ref. TOC-007 / The Report
What is delivered, and what it is not
The deliverable is a written report with the tables and notes listed on the relevant offer page, plus a short walk-through session if you want one. It is a reading of the records you provided, as they stood on the date they were supplied. It is not legal, accounting or tax advice, and we do not promise lower costs, lower inventory, better supplier terms or any other result.
Ref. TOC-008 / Cancellation
Stopping an engagement, corrections and refunds
- You may withdraw at no charge at any point before we receive the records.
- After work has begun you may stop the engagement by written notice. We then invoice the share of the scope already completed, never more than the full fee.
- If we are unable to deliver the report for a reason on our side, no fee is charged.
- If the report contains a factual error that traces back to our work, we correct it and reissue it free of charge. Where a correction is not possible, we refund the fee for that review.
Ref. TOC-009 / Confidentiality
Keeping each other's information private
Each side keeps the other's non-public information confidential and uses it only for the engagement. For us that covers all purchasing records, contracts and stock data you supply. The duty continues for three years after the report is delivered and does not apply to information that is public, that the recipient already had, or that the law compels it to disclose.
Ref. TOC-010 / Liability
Limits on what we can be liable for
- The report reflects the records provided to us at a point in time; we do not warrant the outcome of any decision taken on the strength of it.
- Our liability for any claim arising from a review is limited to the fee paid for that review, except where the law does not allow such a limit, such as intentional misconduct or gross negligence.
- We are not liable for indirect or consequential loss, lost profit or loss of business.
- Neither side is liable for delay or failure caused by events beyond its reasonable control.
Ref. TOC-011 / Law and Disputes
Governing law, courts and changes
These terms and every engagement under them are governed by the laws of Japan. We ask both sides to try to settle any disagreement by direct discussion for at least 30 days before starting proceedings. If that fails, the Sapporo District Court has exclusive jurisdiction at first instance.
If a provision turns out to be unenforceable, the remainder stays in force. We may amend these terms; an amendment applies to proposals issued after it is published and does not alter an engagement already confirmed.
